Welcome to Sidona. These Terms of Service govern your access to and use of our AI-Powered Procurement Intelligence Platform.

Important Notice
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SIDONA PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sidona Inc. ("Sidona," "we," "us," or "our"), a corporation incorporated under the laws of Canada, governing your access to and use of the Sidona procurement intelligence platform, including all associated services, features, content, and software (collectively, the "Platform").
1. Definitions
For the purposes of these Terms, the following definitions apply:
"Platform" means the Sidona web application, APIs, data aggregation engine, AI filtering system, AI Search, and all related tools and services.
"Data Aggregation Service" means the automated scraping, collection, parsing, normalization, and consolidation of publicly available procurement data from government portals, tender boards, and open data sources.
"AI Filtering" means the large language model (LLM)-based intelligent categorization, relevance scoring, and filtering of aggregated procurement data.
"AI Search" means the natural language search feature that allows Users to query the Platform using conversational or keyword-based inputs, powered by artificial intelligence.
"Content" means all data, results, reports, analyses, text, summaries, and outputs generated by or made available through the Platform.
"Subscription" means a paid plan granting access to one or more features of the Platform.
"Account" means a registered user account created to access the Platform.
"Organization" means a company, firm, or entity that has subscribed to the Platform on behalf of its employees or members.
2. Acceptance of Terms
By creating an Account, clicking "I Agree," accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are entering into these Terms on behalf of an Organization, you represent and warrant that you have the legal authority to bind that Organization. In such case, "you" and "your" refer to the Organization.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use following such notice constitutes acceptance of the updated Terms.
3. Description of the Platform
3.1 Data Aggregation
The Platform automatically collects and aggregates publicly available procurement opportunities, tender notices, RFPs, RFQs, grants, and related data from government and public sector sources. This includes web scraping, RSS feed parsing, and API integrations with open data portals. Sidona does not guarantee the completeness, accuracy, or timeliness of aggregated data.
3.2 AI-Powered Filtering
The Platform employs large language models (LLMs) to intelligently filter, categorize, score, and summarize aggregated procurement data based on your profile, preferences, and industry classification. AI-generated outputs are probabilistic and should be treated as a decision-support tool, not as definitive legal or commercial advice.
3.3 AI Search
The AI Search feature enables Users to perform natural language queries against the aggregated procurement database. Results are ranked by AI-assessed relevance and may include summaries, matched excerpts, and recommended opportunities. AI Search outputs are generated dynamically and may not reflect the most current data at the time of query.
3.4 Availability and Downtime
Sidona will use commercially reasonable efforts to maintain Platform availability. However, you acknowledge and agree that:
- The Platform may experience scheduled or unscheduled downtime due to maintenance, infrastructure upgrades, third-party service outages, cyberattacks, or other technical issues.
- Sidona does not guarantee any specific uptime percentage or service level unless expressly set out in a separate written Service Level Agreement (SLA) with your Organization.
- Sidona will endeavour to provide advance notice of planned maintenance windows via email or in-app notification, but is not obligated to do so.
- During periods of downtime, access to procurement data, AI Search, and AI Filtering features may be partially or fully unavailable.
SIDONA SHALL NOT BE LIABLE FOR ANY LOSS, MISSED OPPORTUNITY, FINANCIAL HARM, OR BUSINESS DISRUPTION CAUSED BY PLATFORM DOWNTIME, WHETHER SCHEDULED OR UNSCHEDULED.
Subscription fees are not subject to automatic refund or credit due to downtime unless Sidona has expressly agreed to uptime guarantees in a separate written SLA with your Organization.
4. Account Registration and Security
To access the Platform, you must create an Account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your Account, whether or not authorized.
- Promptly notifying Sidona of any unauthorized access or security breach via our Contact Page.
Sidona reserves the right to suspend or terminate Accounts that provide false information, violate these Terms, or engage in any activity that poses a risk to the Platform or other users.
5. Subscriptions, Billing, and Payments
5.1 Plans
Access to certain Platform features requires a paid Subscription. Details of available plans, pricing, and included features are described on the Sidona pricing page and may be updated from time to time.
5.2 Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are in Canadian Dollars (CAD) unless otherwise stated. By providing payment information, you authorize Sidona or its payment processor to charge you on the applicable billing cycle.
5.3 Taxes
Subscription fees do not include applicable taxes (including HST, GST, or other sales taxes). You are responsible for all such taxes arising from your use of the Platform.
5.4 Cancellations and Refunds
You may cancel your Subscription at any time through your Account settings. Cancellations take effect at the end of the current billing period. Sidona does not provide refunds for partial billing periods, except where required by applicable law.
5.5 Product Demos
Sidona may offer live product demonstrations at its discretion. Demos are for evaluation purposes and do not constitute a Subscription unless you separately purchase a paid plan. Demo access, scope, and duration are determined by Sidona and may be modified or withdrawn at any time without liability.
6. Acceptable Use Policy
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must NOT:
- Use the Platform to scrape, harvest, copy, or redistribute Content in bulk without Sidona's express written permission.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying models of the Platform.
- Use automated bots, crawlers, or scripts to access the Platform beyond your authorized usage tier.
- Circumvent, disable, or interfere with security features, rate limits, or access controls.
- Use the Platform for any unlawful purpose, including but not limited to fraud, money laundering, or violating export control laws.
- Share access credentials or allow multiple individuals to share a single-user Account.
- Upload or transmit malicious code, viruses, or any content that could harm the Platform or other users.
- Use AI Search or AI Filtering outputs to generate misleading, deceptive, or fraudulent procurement submissions.
- Resell, sublicense, or commercially redistribute Platform outputs without a separate written reseller agreement.
Sidona reserves the right to investigate suspected violations and, where appropriate, suspend or terminate access, report violations to authorities, and pursue legal remedies.
7. Intellectual Property
7.1 Sidona IP
The Platform, including its software, AI models, algorithms, designs, trademarks, and proprietary methodologies, is owned by Sidona Inc. and its licensors. Nothing in these Terms transfers any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes during the term of your Subscription.
7.2 Aggregated Data
Public procurement data aggregated by the Platform originates from government and public sector sources. Sidona does not claim ownership of underlying source data. However, the selection, compilation, arrangement, normalization, and AI-enhanced presentation of such data constitute original works owned by Sidona.
7.3 User Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant Sidona a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.
7.4 User Data
You retain ownership of any data, content, or information you submit to the Platform ("User Data"). By submitting User Data, you grant Sidona a limited license to process and use it solely to provide the Platform services. Sidona will handle User Data in accordance with our Privacy Policy.
8. AI Features — Important Disclaimers
Sidona's AI Filtering and AI Search features are powered by probabilistic machine learning models. You acknowledge and agree that:
- AI-generated outputs, including relevance scores, summaries, and search results, may contain errors, omissions, or inaccuracies.
- AI outputs do not constitute legal, financial, or professional advice.
- You are solely responsible for verifying the accuracy of any AI-generated output before relying on it for business, legal, or commercial decisions.
- AI models may produce inconsistent results for similar queries due to the probabilistic nature of language models.
- Sidona does not guarantee that AI Search results are complete or that all relevant opportunities will be surfaced.
- AI features may be updated, retrained, or modified at any time, which may affect output behavior.
SIDONA EXPRESSLY DISCLAIMS ALL LIABILITY FOR LOSSES, DAMAGES, OR MISSED OPPORTUNITIES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS.
9. Data Sources and Third-Party Content
The Platform aggregates data from third-party public sources including government procurement portals, open data repositories, and tender boards. Sidona:
- Does not warrant that aggregated data is accurate, complete, current, or error-free.
- Is not responsible for the content, policies, or practices of third-party data sources.
- May be required to remove or restrict access to specific data at the request of source authorities.
- Makes no representations regarding the availability of any specific procurement opportunity listed on the Platform.
You acknowledge that data sourced from third parties is subject to those parties' terms, and Sidona's aggregation of such data does not grant you any rights beyond what is permitted by the applicable source.
10. Privacy, Data Protection, and Ontario Data Standards
10.1 Privacy Policy
Sidona's collection and use of personal information is governed by our Privacy Policy, available at sidona.ca/privacy. By using the Platform, you consent to the practices described therein.
10.2 Applicable Canadian and Ontario Privacy Laws
Sidona is committed to full compliance with all applicable Canadian and Ontario privacy and data protection laws, including:
- The Personal Information Protection and Electronic Documents Act (PIPEDA), governing the collection, use, and disclosure of personal information in the course of commercial activities.
- The Freedom of Information and Protection of Privacy Act (FIPPA) and the Municipal Freedom of Information and Protection of Privacy Act (MFIPPA), as applicable to data interactions with Ontario public sector entities.
- Ontario's Digital and Data Directive and applicable Treasury Board Secretariat data standards, governing the responsible use of data in digital government services.
- The Accessibility for Ontarians with Disabilities Act (AODA), with respect to digital service delivery standards.
10.3 Data Residency
Sidona stores and processes data on servers located in Canada. Where data is processed by third-party AI or cloud infrastructure providers, Sidona takes reasonable steps to ensure such providers maintain equivalent data protection standards consistent with Ontario and Canadian law. By using the Platform, you consent to such processing.
10.4 Data Minimization and Retention
Sidona collects only the personal information reasonably necessary to provide the Platform services. Personal data is retained only for as long as required to fulfill the purposes for which it was collected, or as required by applicable law. Upon Account deletion or termination, personal data will be deleted or anonymized within a commercially reasonable timeframe, subject to legal retention obligations.
10.5 Anonymized Usage Data
Sidona may use anonymized, aggregated usage data to improve the Platform, train AI models, and generate industry insights. Such data will not identify individual users or Organizations.
11. Security and Data Breach
11.1 Security Measures
Sidona implements commercially reasonable administrative, technical, and physical safeguards designed to protect your data from unauthorized access, disclosure, alteration, and destruction. These measures include, but are not limited to:
- Encryption of data in transit using industry-standard TLS protocols.
- Encryption of data at rest using AES-256 or equivalent standards.
- Role-based access controls limiting internal access to personal data on a need-to-know basis.
- Regular security assessments and vulnerability scanning of Platform infrastructure.
- Logging and monitoring of access to sensitive data and systems.
Notwithstanding the foregoing, no method of electronic transmission or data storage is completely secure. Sidona cannot guarantee absolute security of data processed through or stored on the Platform.
11.2 No Liability for Data Breaches
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIDONA SHALL NOT BE LIABLE FOR ANY UNAUTHORIZED ACCESS TO, DISCLOSURE OF, ALTERATION OF, OR DESTRUCTION OF YOUR DATA RESULTING FROM A SECURITY BREACH, CYBERATTACK, HACKING INCIDENT, RANSOMWARE, SOCIAL ENGINEERING, OR ANY OTHER MALICIOUS OR UNAUTHORIZED THIRD-PARTY ACT, WHERE SIDONA HAS IMPLEMENTED COMMERCIALLY REASONABLE SECURITY SAFEGUARDS.
This limitation applies whether the breach results from: (a) vulnerabilities in third-party software or infrastructure used by Sidona; (b) actions of malicious third parties outside Sidona's reasonable control; (c) your failure to maintain the security of your Account credentials; or (d) zero-day exploits or previously unknown security vulnerabilities.
11.3 Breach Notification
In the event Sidona becomes aware of a data breach that affects your personal information, Sidona will notify affected users in accordance with applicable Canadian and Ontario breach notification requirements, including those under PIPEDA and the Ontario breach notification guidelines. Notification will be provided within the timeframes required by law, using the contact information associated with your Account.
11.4 Your Security Responsibilities
You are responsible for:
- Maintaining the confidentiality of your Account credentials and not sharing them with unauthorized individuals.
- Using strong, unique passwords and enabling multi-factor authentication where available.
- Promptly reporting any suspected unauthorized access or security incident via our Contact Page.
- Ensuring that any devices used to access the Platform are protected by up-to-date security software.
Sidona shall not be liable for any breach or data loss arising from your failure to maintain appropriate security practices for your Account.
12. Confidentiality
Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to third parties without prior written consent. Confidential information includes, but is not limited to, proprietary technology, business strategies, pricing, and non-public Platform features.
This obligation does not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) is rightfully received from a third party without restriction; or (c) is required to be disclosed by law or court order, provided the receiving party gives reasonable prior notice to the disclosing party.
13. Disclaimers of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, DATA ACCURACY, OR UNINTERRUPTED ACCESS.
SIDONA DOES NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE AVAILABLE AT ALL TIMES OR BE ERROR-FREE; (C) AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIDONA INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, business opportunities, or goodwill.
- Damages arising from reliance on AI-generated outputs, including missed procurement opportunities.
- Inaccuracies, gaps, or errors in aggregated third-party data.
- Unauthorized access to your Account or data.
- Service interruptions, downtime, or data loss.
IN NO EVENT SHALL SIDONA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SIDONA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
15. Indemnification
You agree to indemnify, defend, and hold harmless Sidona Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Platform in violation of these Terms.
- Your violation of any applicable law or regulation.
- Your infringement of any third-party rights.
- Any misrepresentation made by you in connection with the Platform.
- Your reliance on AI-generated outputs in submitting procurement bids or tenders.
16. Term and Termination
16.1 Term
These Terms are effective upon your first use of the Platform and remain in effect until terminated.
16.2 Termination by You
You may terminate your Account at any time by cancelling your Subscription and deleting your Account through the Platform settings. Termination does not entitle you to any refund except as required by law.
16.3 Termination by Sidona
Sidona may suspend or terminate your access immediately, with or without notice, if you: (a) breach these Terms; (b) engage in fraudulent or abusive activity; (c) fail to pay fees when due; or (d) pose a risk to the Platform or other users.
16.4 Effect of Termination
Upon termination, your right to access the Platform ceases. Sidona may retain certain data as required by law or for legitimate business purposes. Sections 7, 8, 9, 11, 12, 13, 14, 15, 17, 18, and 19 survive termination.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
17.2 Dispute Resolution
In the event of a dispute, the parties agree to first attempt in good faith to resolve the matter through informal negotiation by providing written notice to the other party. If the dispute is not resolved within thirty (30) days, either party may pursue formal legal proceedings.
17.3 Jurisdiction
The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any disputes arising under these Terms.
17.4 Class Action Waiver
To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Sidona.
18. General Provisions
18.1 Entire Agreement: These Terms, together with the Privacy Policy and any applicable Order Forms or Subscription agreements, constitute the entire agreement between you and Sidona regarding the Platform and supersede all prior agreements and understandings.
18.2 Severability: If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
18.3 Waiver: Sidona's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
18.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without Sidona's prior written consent. Sidona may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
18.5 Force Majeure: Sidona shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, government actions, internet outages, cyberattacks, or AI infrastructure failures.
18.6 Notices: Legal notices to Sidona must be sent in writing via our Contact Page or by mail to the registered address of Sidona Inc. Sidona may send notices to you at the email address associated with your Account.
18.7 Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
